Agreement to Terms

These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and NYCgetCertified ("we," "us," or "our"), concerning your access to and use of the nycgetcertified.com website as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the "Site").

You agree that by accessing the Site or utilizing our consulting services, you have read, understood, and agree to be bound by all of these Terms of Service. If you do not agree with all of these Terms of Service, then you are expressly prohibited from using the Site and our services, and you must discontinue use immediately.

About Our Services

NYCgetCertified provides application preparation, consulting, and administrative support services to assist businesses in applying for Minority and Women-owned Business Enterprise (MWBE), Disadvantaged Business Enterprise (DBE), Service-Disabled Veteran-Owned Business (SDVOB), and other related government certifications.

We operate as an independent consulting firm. We are not a government agency, nor are we affiliated with, endorsed by, or partnered with the City of New York, New York State, the Department of Small Business Services (SBS), the Empire State Development Corporation (ESD), or any other certifying body.

No Guarantee of Certification

While we strive to prepare the strongest possible applications based on the information you provide, the final decision to approve or deny a certification application rests entirely with the applicable government agency.

NYCgetCertified does not and cannot guarantee that your application will be approved, nor can we guarantee a specific timeline for the agency's review process. By using our services, you acknowledge that our fees are for the preparation and administration of the application, not for a guaranteed outcome.

Client Responsibilities

To provide effective service, we rely on the accuracy and timeliness of the information you provide. You agree to:

• Provide complete, accurate, and truthful information regarding your business, ownership, finances, and operations.
• Respond to our requests for documentation and clarifications in a timely manner.
• Promptly inform us of any material changes to your business structure or ownership during the application process.
• Maintain active communication with our team to avoid delays in your submission.

We are not responsible for applications that are delayed, denied, or returned due to false, inaccurate, or intentionally misleading information provided by you, or due to your failure to respond to requests for documentation.

Client Representations and Fraud Prevention: By engaging our services and submitting documents through our portal, you represent and warrant that all documents, information, and materials you provide are genuine, authentic, and accurate to the best of your knowledge. You acknowledge that submitting false, forged, or fraudulent documents in connection with a government certification application may constitute fraud under applicable New York State and federal law. NYC Get Certified and Managed Construction are not responsible for verifying the independent authenticity of documents provided by clients and shall bear no liability for any consequences arising from the submission of fraudulent or inaccurate materials. Any legal, financial, or administrative consequences resulting from fraudulent submissions are solely the responsibility of the client.

Fees and Payment

Fees for our consulting services are clearly outlined prior to the commencement of any work. Unless otherwise agreed upon in writing, all fees must be paid in full before we begin preparing and submitting your application.

Due to the customized nature of the consulting work, time invested, and administrative costs incurred once an engagement begins, fees are generally non-refundable once document preparation has commenced.

Communication Consent

By providing your email address and phone number, you consent to receive communications from us regarding your application status, requests for documents, and related service announcements via email, phone calls, and SMS text messages.

Message and data rates may apply to SMS communications. You may opt out of SMS communications at any time by replying "STOP" to our messages, though doing so may affect our ability to effectively communicate timely updates regarding your application.

Intellectual Property

Unless otherwise indicated, the Site and all content, structure, graphics, designs, logos, and service marks on the Site are our proprietary property or the property of our licensors, and are protected by intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from our content without our express written permission.

Limitation of Liability

To the fullest extent permitted by law, in no event will NYCgetCertified, its directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the Site or our services, even if we have been advised of the possibility of such damages.

Governing Law

These Terms of Service and your use of the Site and our services are governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles. Any legal action or proceeding relating to these Terms shall be instituted exclusively in the state or federal courts located in New York County, New York.

Changes to Terms

We reserve the right, in our sole discretion, to make changes or modifications to these Terms of Service at any time and for any reason. We will alert you about any changes by updating the "Last Updated" date of these Terms of Service, and you waive any right to receive specific notice of each such change. It is your responsibility to periodically review these Terms of Service to stay informed of updates.
